The German Commercial Code (HGB) requires care to be taken in every commercial transaction. Because corporate transactions are not usually part of everyday business, we’ll be pleased to support you to meet these duties of care (diligence) and will give you expert advice.
One particularly important aspect of such transactions is the confidentiality of internal information. Sensitive data will only be disclosed to the last prospects in bidding procedures, but not to everyone involved at the beginning of the process.
Due diligence reviews throw light on the object of a transaction in order to create transparency and thus reveal opportunities and risks. These can be drawn on when reconciling the company value calculated for concrete purchase price bids. In extreme cases, however, this also offers the possibility to hit the brakes if a deal-breaker is uncovered.
